Async Studio
Client Agreement
This is our contract. By ticking every box and submitting your order, you're signing it — the same as signing a freelancer's contract.
01Who we are and what this covers
- Async Studio is a sales page and website studio run by Nikki Jurado in the Philippines ("we", "us"). You are the person or business ordering ("you").
- This agreement covers one project: the package you pick on the order form. Every project is one-time. We don't offer retainers, maintenance plans, or ongoing work.
- By ticking every box and submitting your order, you agree to all of it.
02Async only, no calls
- We work fully async. There are no calls, meetings, or video chats, ever.
- We talk only by email ([email protected]) or our site chat. Questions, feedback, and approvals all happen in writing. We reply 7 days a week, usually within a few hours.
- Delivery timelines count business days only: Monday to Friday, Manila time (UTC+8). Refunds, disputes, and escalations are handled on business days.
03Packages, timelines, and when the clock starts
- Starter: $700, 48 hours, 1 revision round.
- Standard: $1,000, 48 hours, 1 revision round.
- Rush: $1,500, 24 hours, 2 revision rounds.
- Overwhelmed Founder: $1,700, 72 hours, 2 revision rounds.
- 5-Page Website: $2,500, 5 business days, 2 revision rounds.
- Website + Overwhelmed Setup: $3,000, 7 business days, 2 revision rounds.
- The clock starts the moment we send you our written confirmation that we've received your complete intake form. Your deposit must already have cleared. We send that confirmation within 15 minutes of receiving your intake, 7 days a week.
- If your intake is incomplete, the confirmation lists what's missing instead, and the clock has not started. Hours count on business days only. The clock pauses whenever we're waiting on you (see Section 3b).
3bWhen the clock pauses
- The delivery clock (24, 48, or 72 hours, or 5 or 7 business days) only counts our working time.
- It pauses whenever we're waiting on you: missing or incomplete intake answers; files, logos, or photos; logins or DNS, hosting, or payment-account access; verification steps; replies to our questions; or your deposit clearing.
- It starts again as soon as you send what we need. (Before it first starts, see Section 3: the clock begins only when we send written confirmation that your complete intake was received.)
- Example: if we ask for your Stripe login at hour 10 and you send it 20 hours later, those 20 hours don't count. Your page is still due 38 working hours later, not 18.
- Paused time never counts as a missed deadline, so the deposit-back exception in Section 4 never applies to delays caused by a pause.
04Payment
- Fees are in USD: 50% deposit upfront, 50% on delivery.
- We take payment through Payoneer, Wise, or PayPal. You pay any fees on your side.
- The final invoice is due within 3 days of delivery. If it isn't paid by then, we take down the preview link until it is.
- No refunds, ever, with one exception: if we miss the promised delivery deadline for your package and the delay wasn't caused by you, you get your deposit back and we still finish the project.
- Nothing else is refundable: not the deposit, not the final payment, not for changes of mind, results, or anything else. Delays caused by you, including any time the clock is paused (Section 3b), never count toward a missed deadline.
05Scope: what's included and what isn't
- You get exactly what's in your package, nothing more.
- We don't do out-of-scope work at all. Anything outside the package is declined. We don't sell add-ons and we don't bill by the hour.
- For anything not listed in your package, the answer is no. You're free to hire someone else for it.
06Revisions
- One revision round means one combined list of changes, sent in writing within 7 days of delivery.
- Your package sets how many rounds you get (1 or 2). Changes within a round must stay inside the package scope.
- Unused rounds expire. They don't roll over or turn into other work.
07Previews and handover
- You review the work only on our preview link, which is password-protected and watermarked.
- We don't publish, hand over files, share code, or transfer any account or page until you've paid in full.
- Once the final payment clears, we publish (or hand over) and send you a short recorded video walkthrough.
08Acceptance
- Delivery means we've sent you the preview link.
- If we don't hear from you within 7 days of delivery, the work is treated as accepted and the final invoice is due.
- Approving the work in writing, or using it publicly, also counts as acceptance.
09Overwhelmed setups: domain and hosting
- For Overwhelmed Founder and Website + Overwhelmed Setup orders, we register your domain in your name after your deposit clears (standard domains up to $20 for year 1 are included).
- We hold back hosting setup and launch until you've paid in full.
- You own your domain, hosting, email, and payment accounts, and you pay for them, including renewals. You open and verify your own payment accounts (like Stripe or PayPal). We only connect them.
10Ownership and portfolio
- Once you've paid in full, you own the final copy and design we made for you. Until then, all rights stay with us.
- Third-party items (fonts, stock images, platforms, templates) stay under their own licences.
- We may show the finished work in our portfolio. To opt out, tell us in writing at any time.
11Your responsibilities
- You give us accurate content, information, and working access when we need it.
- You're fully responsible for every claim on your page or site (results, testimonials, income or health claims), for your product or service, and for your page following the laws that apply to you, like consumer, privacy, and advertising rules.
- You confirm you have the rights to everything you send us (logos, images, text).
12No guarantee of results
- We build good pages, but we can't promise sales, leads, sign-ups, rankings, or conversions. Results depend on your offer, traffic, and market.
- Our only guarantee is about timing (Section 4).
13Late intake and unresponsive clients
- If you don't send your intake, content, or access, or don't reply, for more than 14 days, we close the project.
- When we close a project this way, we keep your deposit and owe you no further work. To start again, you place a new order.
14Chargebacks and disputes
- If something's wrong, email us first and we'll work it out in writing.
- If you file a chargeback or payment dispute for work we delivered under this agreement, we'll send the payment provider this agreement, your ticked boxes and signature, and our delivery records. Any rights you'd have received are cancelled until the dispute is resolved and the payment is restored.
15Limitation of liability
- Our total liability for anything related to your project is capped at the fees you actually paid us for it.
- We aren't liable for indirect losses, like lost profits, lost sales, lost data, or problems caused by third-party platforms, hosts, or payment providers.
16Governing law and the whole agreement
- This agreement is governed by the laws of the Republic of the Philippines.
- This page, together with your order and intake form, is the whole agreement between us. Changes only count if we both agree to them in writing (email is fine).
- If one part turns out to be unenforceable, the rest still applies.
Your e-signature
On the order form, you'll type your full legal name and the date. That counts as your signature on this agreement.
